Privacy Policy & EULA
This End-User License Agreement (hereafter “EULA”) is a legal agreement between you and Health Hub 101, LLC (hereafter “HH101”). This Agreement covers the use of the HH101 software, a digital platform designed for cancer patients, their families, and friends, aimed at providing education, support, health data management, and integration with their healthcare providers and broader healthcare community.
This EULA agreement governs your acquisition and use of HH101 software directly from HH101 or indirectly through an authorized healthcare clinic, business or entity.
Please read this EULA agreement carefully before completing the registration process and using the HH101 software. It provides a license to use the HH101 software and contains warranty information and liability disclaimers.
By registering and using the Software, you are confirming your acceptance of the terms of this EULA agreement.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this Agreement, do not install or use the software. Instead, reach out to HH101 support to explore clarification or modification to the terms and conditions of this Agreement.
This Agreement shall apply equally to the Software and to any updates, supplements, internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
Definitions
Agreement: refers to this EULA that governs the use of the Software, establishing the terms and conditions between you (the user) and HH101.
Content: any data, information, or material uploaded, created, submitted, or transmitted by HH101, independent providers, or healthcare entities through the Software.
Healthcare Entity: any clinic, business, or medical provider authorized by HH101 to use the Software for patient care or support services.
Healthcare Provider: any licensed medical professional, clinic, hospital, or health system authorized to provide care to users within the HH101 platform.
Personal Data: any information related to an identified or identifiable individual, including sensitive health information, collected and processed by the Software, whether provided by the user, healthcare team, or other sources.
Software: the mobile application and any related services provided by HH101, which are used by cancer patients, their family, and friends to manage health data and support care.
User: any individual who registers for or uses the Software, including but not limited to cancer patients, family members, friends, or authorized caregivers.
License Grant
HH101 hereby grants you a personal, non-transferable, non-exclusive license to use the Software on your devices in accordance with the terms of this Agreement.
You are permitted to load the Software on any device under your control. You are responsible for ensuring your device meets the minimum requirement of the Software.
License Restriction
You are not permitted to:
Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software
Combine or incorporate the Software into any other software or decompile or reverse engineer it.
Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose.
Allow third parties to use the Software on your behalf or for their benefit.
Use the Software in any way that breaches any applicable local, national or international law.
Use the Software for any purpose that HH101 considers a breach of this Agreement.
Integrate the Software with unauthorized third-party platforms that could compromise user data security.
User Data and Privacy
HH101 is committed to protecting the privacy of users in accordance with applicable healthcare privacy laws, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA). By using the Software, users consent to the collection and use of their data in accordance with HH101’s Privacy Policy. HH101 shall ensure the anonymization and de-identification of all personal data collected on the platform.
Users may request to review, modify, or delete their personal data in accordance with HH101’s Privacy Policy, and applicable laws.
HH101 will only share personal data with third-party providers under strict contractual agreements to maintain user privacy and security.
Intellectual Property and Ownership
HH101 shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including modifications made thereto) are and shall remain the property of HH101.
Any and all content produced by an individual healthcare entity retains ownership of such content. Content created by HH101 directly or indirectly through partnership will be the sole property of HH101, unless specified and agreed to in writing separately. Information specifically pertaining to users on the platform is the sole property of HH101, who becomes the legal steward of such information. HH101 agrees to follow all applicable laws in the governance of this data while ensuring user anonymity and de-identification of all information.
HH101 reserves the right to grant licenses to use the Software to third parties.
HH101 employs industry-standard encryption and security protocols to protect user data. However, users acknowledge that no system is completely secure, and HH101 cannot guarantee the absolute security of personal data.
Liability Limitation
HH101 shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Software, including but not limited to loss of data or unauthorized access to personal information.
The Software is provided ‘as is,’ without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Conflict Resolution
In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first seek resolution through informal means. If informal resolution fails, the dispute shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in St. George, UT, in accordance with the rules of the American Arbitration Association, and the decision of the arbitrator shall be final and binding on the parties.
If any provision of this Agreement is found to be unenforceable, the remainder of this Agreement will remain in full force and effect.
Change of Terms and Termination
HH101 reserves the right to update or modify this Agreement at any time. Users will be notified via email or through the Software. Continued use after notification constitutes acceptance of the new terms.
HH101 may terminate this Agreement immediately if you breach its terms. Upon termination, you must cease all use of the Software and delete it from your devices. You may terminate this Agreement by deleting your account; however, HH101 may retain data as required by law and in accordance with its Privacy Policy.
Governing Law
This Agreement, and any dispute arising out of or in connection with it, shall be governed and construed in accordance with the laws of the United States of America.
